Vilkår og betingelser
1. Avtalens omfang
Denne avtalen gjelder for selskapsetableringstjenester, årlige tjenester og andre relaterte tjenester (samlet referert til som «Tjenesten»).
2. Partene i avtalen
The parties to this Agreement are Scaevola Services Ltd, as identified on the invoice or order confirmation (“Scaevola Services Ltd”), and the individual or legal entity placing the order (the “Client”). Where the Service involves company formation, annual address services, company secretary services, trademark registration, or trademark monitoring, both the Company receiving the services and the person placing the order are jointly and severally liable for all contractual obligations under this agreement, including payment.
3. Bestilling og aksept
An order becomes binding when the Client submits an order form to Scaevola Services Ltd, accepts these terms and conditions electronically via an online form, or places an order by phone. The order remains binding even if all necessary information to complete the Service has not yet been provided. Scaevola Services Ltd will notify the Client if additional information is required or if information provided is rejected by the relevant authorities. Scaevola Services Ltd reserves the right to decline any order without providing a reason, in which case a full refund will be issued to the Client.
4. Elektronisk kommunikasjon og lagring av dokumenter
Kunden samtykker til bruk av elektronisk kommunikasjon og elektronisk lagring av dokumenter og informasjon.
5. Betaling og gebyrer
The Service must be paid in advance according to the prices set by Scaevola Services Ltd. If a payment made by card, cheque, or any other method is withheld, cancelled, or not properly processed, the order remains binding, and the Client must arrange immediate payment. Late payments will incur penalty interest and fees in accordance with applicable law.
Offentlige avgifter for selskapsregistrering utenfor Storbritannia faktureres direkte av de relevante myndighetene og er ikke inkludert i Tjenesten med mindre dette er uttrykkelig angitt skriftlig. Det kan påløpe ekstra gebyrer for møter, spesielle skjemaer, dokumenter, budtjenester eller andre ikke-standardiserte tjenester som Kunden ber om. Kunden vil bli informert om slike tilleggskostnader på forhånd.
6. Begrensninger i tjenesten og ansvar
Scaevola Services Ltd and its employees, agents, or representatives cannot guarantee the processing time of registrations or that specific company names or trademarks will be available. If a company or trademark registration is refused, Scaevola Services Ltd will notify the Client, who may amend the registration request. For unsuccessful trademark registrations, government fees are typically non-refundable.
Orders remain binding even if a preferred company name or trademark is unavailable or registration is refused for reasons that the Client can reasonably rectify. Scaevola Services Ltd is not liable if a registration violates third-party rights. The Client agrees to indemnify Scaevola Services Ltd and its agents and employees against any related claims or losses.
7. Klientens forpliktelser
The Client must provide accurate and up-to-date information for the performance of the Service, including contact details and filing deadlines. The Client confirms they understand the legal and tax implications of forming and operating a company and have obtained independent professional advice where necessary. The Client agrees not to rely on advice provided by Scaevola Services Ltd unless explicitly stated in writing.
8. Ansvar
Scaevola Services Ltd’s liability for any fault or defect in the Service is limited to the fees paid under this agreement. Scaevola Services Ltd is not liable for indirect or consequential losses or changes in law or regulation. The Client agrees to indemnify Scaevola Services Ltd, its employees, and agents against any third-party claims arising from the Service or the inability to perform the Service.
9. Overholdelse og lovlig bruk
The Client confirms that any company formed will not be used for illegal purposes. Scaevola Services Ltd and its agents may be legally required to report suspicions of money laundering or illegal activity.
10. Selskapssekretærtjenester.
If the Service includes company secretary services, Scaevola Services Ltd may provide these directly or through a third party.
Bedriftssekretærtjenester i Storbritannia er begrenset til å sende inn årsregnskap og sovende regnskaper til Companies House og varsle Inland Revenue om at selskapet ikke driver næringsvirksomhet eller ikke er skattemessig hjemmehørende. Ytterligere innleveringer eller assistanse er ikke inkludert med mindre det er avtalt skriftlig. Kunden er fortsatt ansvarlig for alle offentlige avgifter og bøter.
Scaevola Services Ltd may terminate company secretary services at any time with a proportional refund of the annual fee. Scaevola Services Ltd may terminate services without refund if the Client fails to provide required information or is involved in illegal or unethical activities.
11. Selskapsdannelse utenfor Storbritannia
For company formation outside the UK, Scaevola Services Ltd will prepare draft articles of association based on Client data. The Client is responsible for auditor costs and minimum share capital requirements.
12. Kundeoppdateringer og kommunikasjon
The Client must notify Scaevola Services Ltd of any changes to company or personal details, including contact details. Scaevola Services Ltd may send notifications and documents electronically.
13. Endringer i selskapet
For changes such as share transfers, director appointments, or name changes, Scaevola Services Ltd will provide the necessary forms and attempt to register the changes based on the Client’s information. Scaevola Services Ltd is not liable for loss caused by incorrect or incomplete information from the Client.
14. Selskapsstreik i Storbritannia.
Hvis tjenesten omfatter assistanse med å slette et selskap i Storbritannia, påtar kunden seg all risiko og alt ansvar som er forbundet med dette.
15. Elektronisk arkivering
Scaevola Services Ltd may file any form electronically, even if originally submitted in paper format.
16. Fornyelse av årlige tjenester
Annual or recurring services will automatically renew unless terminated at least 60 days before the renewal date. The Client authorises Scaevola Services Ltd to charge the renewal fee to the registered payment method.
17. Konfidensialitet
Scaevola Services Ltd will maintain the confidentiality of Client information unless disclosure is required by law or government order.
18. Retningslinjer for avbestilling, refusjon og klage
18.1. As a general policy, Scaevola Services Ltd does not offer refunds or cancellation rights once an order is placed. Requests for cancellation or refund will be reviewed case-by-case at the sole discretion of Scaevola Services Ltd.
18.2. Formal complaints or cancellation requests must be submitted in writing to the official Scaevola Services Ltd contact email. Requests through other channels will not be accepted.
18.3. Klager eller forespørsler om refusjon er bare gyldige hvis kunden har oppgitt all nødvendig informasjon for tjenesten.
18.4. Refunds or adjustments will only be considered if Scaevola Services Ltd demonstrably failed to deliver the Service as agreed.
18.5. Complaints will be reviewed within 30 business days. If upheld, any remedial action or refund will be processed at the sole discretion of Scaevola Services Ltd.
19. Opptak av samtaler.
Scaevola Services Ltd may record and retain phone calls with the Client for documentation and training purposes.
20. Gjeldende lov og jurisdiksjon
Eventuelle tvister om ubetalte gebyrer er underlagt loven og domstolene på kundens bosted. Alle andre tvister er underlagt bulgarsk lov og er underlagt bulgarske domstolers jurisdiksjon.
21. Kortbetalinger
Kortbetalinger behandles vanligvis innen 1-3 virkedager etter autorisasjon.
22. Leveringstid
Leveringstiden varierer avhengig av tjenesten og tredjepartsbehandling. Gjennomføringstiden avhenger også av hvor raskt kunden fremskaffer nødvendig dokumentasjon.
23. Fullmakt
Når Kunden kjøper en tjeneste som gjelder innlevering eller registrering av et varemerke eller et relatert produkt, godtar Kunden å gi Selskapet en signert fullmakt som gir Selskapet rett til å levere inn søknaden og utføre alle nødvendige handlinger på Kundens vegne. Dette kravet gjelder fra kjøpstidspunktet og må oppfylles før søknadsprosessen kan starte. Kunden bekrefter og aksepterer at denne forpliktelsen gjelder og fremgår av alt relevant materiale, inkludert betalingslenker, fakturaer, nettsider og tilhørende dokumentasjon.
